Fees In order to create an Account, you will be required to pay a fee (“Fee”), either on an annual or monthly basis, through a third party payment processor designated by Scribit (“Payment Processor”). All Fees are stated in and shall be paid in United States dollars, unless otherwise specified by the Payment Processor. In addition to the Fees, you will be responsible for paying any related taxes or additional charges in connection with your use of the Services. In addition to your Account, we may offer you additional Services from time-to-time, including coaching workshops, group workshops, book clubs, consultations or other Services (the “Additional Services”). Your use of such Services may be subject to additional Fees, which will be presented to you at the time such Services are made available to you, and will be subject to Section 6 below. you choose to pay Fees monthly, you will pay the first month’s Fee at the time of Account creation and may cancel your Account any time prior to your monthly payment date to avoid being charged the next monthly Fee. If you choose to pay Fees annually, you will be charged the annual Fee at the time you create your Account, and your Account will automatically renew, and you will be charged the next annual Fee, on the one (1) year anniversary of your Account creation date, unless you provide Scribit with written notice of your intent to cancel your Account at least thirty (30) days’ prior to the annual renewal date. If Scribit increases any Fees, Scribit shall provide you with 30 days’ written[3] notice of any such price increase at the email address Scribit has associated with your Account. You may cancel your Account any time prior to such Fee increase before the date on which you are charged the increased Fee. You may also cancel your Account within fourteen (14) days after such Fee increase using the foregoing process. If you do cancel your Account within such period, Scribit will refund you the amount equivalent to the price of the remaining term of the Services at the time of such cancellation on a pro rata basis. Except as set forth in this Section 2 or otherwise at Scribit’s sole discretion, purchases of Services are final and non-refundable. Termination of your Account or your rights under these Terms may result in forfeiture of purchased Services. You may cancel your attendance at, purchase of or other involvement with an Additional Service through [ ]. You will require reliable, high-speed internet in order to attend any online Additional Service. If you are unable to attend an Additional Service, join the session or otherwise participate in an Additional Service due to connectivity or technical issues, you may still be charged for your Additional Service. You agree not to make any audio or visual recordings of any materials provided at any Additional Service. You agree to not make recordings or copies of the Additional Services. We reserve the right to refuse to work with you or provide any Additional Services should you behave in an unprofessional manner or engage in any behavior that is a violation of these Terms, or if you are unable to engage in a reasonable manner, as we and/or a coach or staff member may determine, with any coach or other participant at or during any Additional Service. Changes to the Services We reserve the right to modify, withdraw or amend the Services and/or any Content in our sole discretion without notice or further obligation to you. If Scribit makes a material change to these Terms, you may reject any such material change by sending Scribit a personally signed, written notice of your decision to opt out of those changes via email to [email protected] with the subject line: “Terms Change Opt Out” (“Opt-Out Notice”). The Opt-Out Notice must include: (a) your full name; (b) your mailing address; (c) your phone number; (d) your Scribit Account username, if applicable; (e) identification of the change that you wish to opt out of; and (f) a clear statement that you wish to opt out of the change. Your Opt-Out Notice must be sent within 30 days of Scribit sending notice of a change (the “Opt-Out Period”) and must be sent by you personally, and not by your agent, attorney, or anyone else purporting to act on your behalf. If you do not timely reject a change and you either affirmatively assent to the change or continue to use the Services after the expiration of the Opt-Out Period, that conduct will be interpreted and considered as you manifesting acceptance of the change. If you do send an Opt-Out Notice, Scribit reserves the right to cease providing the Services to you and/or to terminate or suspend your access to the Services or your Account, in which case you will receive a pro rata refund of any unused prepaid Fees.
